ultraluxis provides fitness client retention data analysis services, including but not limited to member behaviour analysis, churn prediction, retention strategy development, and related consulting services. Our services are designed to help fitness businesses improve member retention through data-driven insights and strategies.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without notice. We also reserve the right to refuse service to anyone for any reason at our sole discretion.

User Obligations

When using our website and services, you agree to provide accurate, current, and complete information as requested. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorised use of your account or any other breach of security.

You agree not to use our services for any unlawful purpose or in any way that could damage, disable, overburden, or impair our systems. You may not attempt to gain unauthorised access to any part of our services, other users' accounts, or any systems or networks connected to our services.

Payment Terms

Payment terms for our services will be specified in individual service agreements or invoices. Unless otherwise agreed, payment is due within 30 days of invoice date. We reserve the right to suspend or terminate services for non-payment.

All prices are quoted in Euros and exclude applicable taxes unless otherwise stated. You are responsible for any applicable taxes, duties, or fees related to your use of our services.

Confidentiality

We understand that you may share confidential business information with us in the course of providing our services. We agree to maintain the confidentiality of such information and use it solely for the purpose of providing services to you. This obligation survives the termination of our agreement.

Limitation of Liability

To the maximum extent permitted by law, ultraluxis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of our services, even if we have been advised of the possibility of such damages.

Our total liability to you for all claims arising out of or relating to these Terms or our services shall not exceed the amount paid by you to ultraluxis in the twelve months preceding the claim. This limitation applies regardless of the legal theory on which the claim is based.

We provide our services "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure. While we strive to provide accurate analysis and insights, we cannot guarantee specific business results or outcomes.

Indemnification

You agree to indemnify, defend, and hold harmless ultraluxis and our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of our services, your violation of these Terms, or your violation of any rights of another party.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Slovenia, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Slovenia.

If you are a consumer resident in the European Union, you may have additional rights under applicable consumer protection laws, and nothing in these Terms is intended to limit such rights.

Termination

Either party may terminate our service agreement at any time with written notice. ultraluxis may also terminate or suspend your access to our services immediately, without prior notice or liability, if you breach these Terms or engage in conduct that we deem inappropriate or harmful to our business or other users.

Upon termination, your right to use our services will cease immediately. We may, at our discretion, delete any data or content associated with your account. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, limitation of liability, and governing law.

If you wish to terminate your account or stop using our services, you may simply discontinue use of our website and services. We recommend that you contact us to ensure proper closure of any ongoing service agreements.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.

Entire Agreement

These Terms, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and ultraluxis regarding the use of our services and supersede all prior agreements and understandings, whether written or oral.
